About Guildite

Guildite is a digital commerce platform owned and operated by GuildIte Ltd, a subsidiary of Frizux Ltd. Guildite provides independent sellers with tools to create digital shops, manage inventory, process orders, access market analytics, connect with buyers and participate in a seller community.

Guildite is a platform that connects buyers and sellers. Guildite is not a seller, retailer, auctioneer or agent for any product listed on the platform. Guildite does not own, inspect, verify or guarantee any product, service or listing on the platform unless explicitly stated.

Eligibility

To use Guildite you must:

• Be at least 18 years of age or have the consent of a parent or legal guardian
• Have the legal capacity to enter into a binding agreement
• Not be prohibited from using Guildite under the laws of Ghana or your country of residence
• Provide accurate and complete registration information
• Not have had a previous Guildite account suspended or terminated for violations

Accounts

You must register for an account to access Guildite’s seller features. You agree to provide accurate, current and complete information during registration and to keep your account information updated.

You are responsible for maintaining the confidentiality of your account credentials. You are responsible for all activity that occurs under your account. You must notify Guildite immediately at [email protected] if you suspect unauthorised access to your account.

You may only hold one active seller account on Guildite. Creating multiple accounts to circumvent suspensions, bans or platform fees is a serious violation of these Terms and will result in permanent removal from the platform.

Guildite may require identity verification for certain features including escrow transactions above specified thresholds. You agree to provide requested verification documents promptly. Failure to verify may result in transaction limits or account suspension.

Platform Rules

• All listings must be accurate, honest and represent real products or services available for sale
• All transactions must be conducted through Guildite’s platform and payment system
• No user may attempt to take transactions off-platform to avoid Guildite’s fees or protections
• No user may engage in price manipulation, artificial inflation or coordinated bidding
• No user may impersonate another person, brand or business
• No user may use Guildite for money laundering, fraud or any illegal financial activity
• All users must treat other community members with respect

Seller Obligations

• All product listings must be accurate, complete and not misleading
• Product images must represent the actual item being sold
• Prices listed must be the true and complete price including any applicable charges
• Stock availability must be kept current — listing unavailable items is prohibited

• You must fulfil confirmed orders within your stated delivery timeframe
• You must communicate promptly with buyers regarding order status
• If you cannot fulfil an order you must cancel promptly and notify the buyer
• Repeated failure to fulfil orders will result in account suspension

• Stolen, counterfeit or illegally obtained goods
• Controlled substances, narcotics or illegal drugs
• Weapons, explosives or items regulated under applicable law
• Pornographic, obscene or sexually explicit material
• Items that infringe third-party intellectual property rights
• Fake documentation, identity documents or financial instruments
• Any item whose sale is prohibited under Ghanaian law

Sellers are solely responsible for the accuracy of their listings, the quality of their products, compliance with applicable laws, and payment of all applicable taxes on their sales.

Buyer Obligations

• You will only initiate purchases for items you genuinely intend to buy
• You will provide accurate delivery information for all orders
• You will not attempt to obtain goods without completing payment through Guildite’s escrow system
• You will release escrow funds promptly upon confirmed receipt of goods in the described condition
• You will raise disputes honestly and only where a genuine issue exists
• You will not abuse the dispute process to obtain free goods or services

Payments and Escrow

1. The buyer pays the full transaction amount plus the applicable platform fee into Guildite’s escrow system
2. Guildite holds the funds securely while the seller prepares and delivers the order
3. Upon confirmed delivery and buyer confirmation, Guildite releases funds to the seller
4. If a dispute is raised, Guildite’s dispute resolution process determines fund release

Guildite charges a platform fee on each transaction. This fee is paid by the buyer and is non-refundable except in cases of platform error. Current fee rates are displayed at checkout.

Refunds of the transaction amount (excluding platform fees) are available where a seller fails to deliver, where goods received materially differ from the listing description, or where Guildite’s dispute resolution process determines a refund is warranted. Platform fees are non-refundable in all cases except platform error.

Fees and Subscriptions

Guildite offers both free and paid subscription tiers for sellers. Pro and Enterprise subscription tiers provide access to advanced features including market analytics, priority support and enhanced shop customisation.

• Subscriptions are billed monthly in advance
• Subscriptions auto-renew unless cancelled before the renewal date
• You may cancel your subscription at any time through your account settings
• Cancellation takes effect at the end of the current billing period — no refunds for partial periods
• Guildite reserves the right to change subscription pricing with 30 days advance notice

Data and Intellectual Property

Guildite’s platform, software, brand, logos, product names, design elements and all underlying technology are owned by GuildIte Ltd and Frizux Ltd. Nothing in these Terms grants you any right to use Guildite’s intellectual property without express written permission.

All transaction data generated on Guildite is owned by GuildIte Ltd. This data is used to power Guildite’s market analytics features, improve the platform and develop future products and services. By using Guildite you grant GuildIte an irrevocable, perpetual licence to use aggregated and anonymised transaction data for these purposes.

You retain ownership of content you create and upload to Guildite, including product images, descriptions and shop branding. By uploading content you grant Guildite a worldwide, royalty-free licence to use, display, reproduce and distribute that content for the purpose of operating and promoting the platform.

Community Guidelines

• Communicate respectfully and professionally at all times
• Do not share contact details, payment information or escrow codes in community channels
• Do not spam, advertise excessively or post irrelevant content
• Do not harass, threaten or intimidate other members
• Report suspicious activity, scam attempts or rule violations to Guildite moderators

Prohibited Conduct

• Fraud, misrepresentation or deliberate deception of buyers or sellers
• Creating fake reviews, testimonials or seller ratings
• Using Guildite to facilitate money laundering or illegal financial activity
• Attempting to reverse engineer, copy or replicate Guildite’s technology
• Unauthorised access to other users’ accounts or Guildite’s systems
• Systematic scraping or extraction of Guildite’s data without authorisation
• Using Guildite for any activity prohibited by the laws of the Republic of Ghana

Limitation of Liability

• Guildite does not guarantee uninterrupted, error-free or secure access to the platform
• Guildite is not liable for losses arising from transactions between buyers and sellers
• Guildite is not liable for the accuracy, quality or legality of items listed by sellers
• Guildite is not liable for losses arising from a user voluntarily sharing escrow codes or payment credentials
• Guildite is not liable for indirect, consequential, incidental or punitive damages of any kind

Termination

You may close your Guildite account at any time through your account settings. Upon closure, your public shop and listings will be removed. Active escrow transactions must be resolved before account closure.

Guildite may suspend or terminate your account at its sole discretion where you have violated these Terms, engaged in fraudulent activity, or where Guildite is required to do so by law or regulatory authority.

Dispute Resolution

If a dispute arises between a buyer and seller, both parties must first attempt to resolve the matter directly through Guildite’s messaging system. If resolution cannot be reached within 48 hours, either party may escalate to Guildite’s formal dispute resolution process. Guildite’s determination on escrow fund release is final and binding on both parties.

Any dispute arising from these Terms or your use of Guildite shall be governed by the laws of the Republic of Ghana. You agree that any legal action shall be brought exclusively in the courts of Accra, Ghana.

Changes to These Terms

Guildite may update these Terms of Service from time to time. When material changes are made, Guildite will notify users by email and through an in-app notification at least 14 days before the changes take effect. Your continued use of Guildite after the effective date constitutes your acceptance of those Terms.
